Voiceform Terms of Service

1. Eligibility and Account Creation

You must be at least 18 years old to use the Services. By creating an account, you represent that you are at least 18 and that the information you provide is accurate and complete. You are responsible for maintaining the confidentiality of your account and password, and for all activities that occur under your account, including actions taken by any AI assistant, application, or tool you authorize to access your account. Notify us immediately of any unauthorized use of your account.

2. Use of Services

Subject to your compliance with these Terms, Voiceform grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for their intended purposes. You may not modify, copy, distribute, transmit, display, reproduce, publish, license, create derivative works from, transfer or sell any content, software, products or services obtained from the Services without our prior written consent.

You agree to use the Services in compliance with all applicable laws and regulations. You may not use the Services to:

• Upload or transmit any content that infringes any intellectual property or proprietary rights
• Upload or transmit any content that is defamatory, obscene, threatening, abusive, or hateful
• Interfere with the functionality or security features of the Services
• Attempt to gain unauthorized access to the Services or its related systems
• Use the Services for any fraudulent or illegal purpose

3. Intellectual Property

The Services and their original content, features, and functionality, including our MCP server, tool definitions, and API, are owned by Voiceform and are protected by Canadian, American, and international intellectual property laws. You may not use our trademarks, logos, or other proprietary information without our express written consent.

4. User Content

The Services may allow you to upload, submit, store, or transmit content—including text, images, audio, and video ("User Content"), whether directly or through an AI Integration. You retain all ownership and intellectual property rights in your User Content.

By making your User Content available through the Services, you grant Voiceform a limited, non-exclusive, worldwide, royalty-free license to use, store, reproduce, and distribute your User Content solely for:

(a) Operating and improving the Services, including transmitting results to AI platforms you have connected;
(b) Providing research insights to the authorized research organizations commissioning the relevant study;
(c) Processing data in accordance with our Privacy Policy;
(d) Complying with legal obligations; and
(e) Using, sharing, or licensing de-identified or aggregated information, in accordance with applicable law, to third parties, including organizations that develop artificial intelligence and machine learning technologies, for research, analytics, model training, evaluation, and product improvement. This does not apply to AI Integration data or content returned through AI Integrations, as described in our Privacy Policy. You may opt out of this use of your data by contacting privacy@voiceform.com.

You are responsible for ensuring you have all necessary rights to grant this license and warrant that your User Content complies with applicable laws and doesn't violate third-party rights.

If you delete your User Content, we will cease using it to provide ongoing services to you, though we may retain copies as necessary to comply with legal obligations, meet legitimate business requirements, enforce our agreements, protect our rights, and support research and development activities.

5. Publicity

For Organizations, unless otherwise specified in an ordering document or quote, you grant Voiceform a limited, worldwide, non-exclusive, non-transferable, license to use the trade-marks and trade-names of Customer ("Customer Marks") for the sole purpose of displaying Customer Marks in marketing efforts on Voiceform's Website including in customer lists, blogs, case studies and testimonials and other public communications. In simpler terms, if you are an Organization, you agree to let Voiceform use your name and logo for Voiceform's marketing purposes.

6. Refund Policy

All payments made for our services are final. We offer a trial period during which you can evaluate our services. If you choose to cancel within this trial period, you will not be charged. However, once the trial period concludes, no refunds will be issued.

7. Third-Party Services

The Services may contain links to, or integrate with, third-party websites, services, AI platforms, and applications that are not owned or controlled by Voiceform, including ChatGPT (OpenAI), Claude (Anthropic), and Cursor (Anysphere). Your use of those services is governed by their own terms and privacy policies. We have no control over the content, privacy policies, or practices of any third-party services. You acknowledge and agree that Voiceform shall not be responsible or liable for any damage or loss caused by your use of any third-party sites or services.

8. AI Assistant Integrations (MCP)

8.1 Description

Voiceform provides a Model Context Protocol ("MCP") server that allows you to connect your Voiceform account to third-party AI assistants and developer tools, including ChatGPT, Claude, Cursor, and other MCP-compatible clients (each an "AI Client"). Through this connection (an "AI Integration"), an AI Client can call Voiceform tools on your behalf, such as creating, editing, publishing, or deleting surveys and studies and retrieving responses, transcripts, and analysis.

8.2 Authorization

You connect an AI Client by signing in to Voiceform and approving the requested permissions through OAuth. By doing so, you authorize Voiceform to accept requests from that AI Client as if they came from you, within the permissions you granted. You are responsible for every action an AI Client takes through your account, including actions you did not specifically intend, so you should review any action that creates, changes, publishes, or deletes data before confirming it. Voiceform is not responsible or liable for any data created, changed, published, or deleted by an AI Client acting through your account.

8.3 Third-Party AI Platforms

AI Clients are provided by third parties, not Voiceform. Your use of an AI Client is governed by that provider's terms and privacy policy. Voiceform is not responsible for how an AI Client interprets your instructions, which tools it chooses to call, or how its provider processes, stores, or uses data that Voiceform returns to it.

8.4 Data You Send to AI Platforms

When you use an AI Integration, Voiceform will send the results of your requests—which may include respondent answers, transcripts, recordings, and other research data—to the AI Client you connected. You represent and warrant that you have all rights, notices, and consents required under applicable law and your agreements with respondents and clients to share that data with the AI Client and its provider, and you will not use AI Integrations to send data you are not permitted to share.

8.5 AI-Generated Output

Responses produced by an AI Client, and AI-generated summaries or analysis returned by the Services, may be inaccurate, incomplete, or misleading. You are solely responsible for reviewing and verifying any output before relying on it or acting on it.

8.6 Acceptable Use

In addition to Section 2, you may not use AI Integrations to:

• Exceed rate limits or usage limits, or attempt to circumvent them
• Access data or workspaces you are not authorized to access
• Scrape, bulk-export, or harvest data beyond your own account's ordinary use
• Reverse engineer, resell, or sublicense the MCP server or its tools, or use them to build a competing product
• Send instructions designed to manipulate Voiceform tools or other users' AI Clients (including prompt injection)
• Use an AI Client to take actions that would violate these Terms if you took them directly

8.7 Availability and Changes

We may add, change, limit, or discontinue AI Integrations, individual tools, or support for any AI Client at any time, with or without notice. Third-party AI platforms may also change or remove their support for Voiceform independently of us.

8.8 Revocation

You may disconnect an AI Client at any time from that platform's settings or from your Voiceform account settings. We may suspend or revoke an AI Client's access to your account if we reasonably believe it is being used in violation of these Terms, poses a security risk, or is degrading the Services.

8.9 Privacy

Our collection and use of data through AI Integrations is described in Section 6 of our Privacy Policy. We do not use AI Integration data or content returned through AI Integrations to train AI or machine learning models.

9. Termination

We may suspend or terminate your access to the Services, including any AI Integration, at any time for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease and all tokens issued to AI Clients for your account will be revoked. All provisions of the Terms which by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimer of Warranties

The Services, including AI Integrations and any AI-generated output, are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or course of performance. Voiceform does not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any AI Client will work with the Services. You are responsible for keeping your own copies of any data that is important to you.

11. Limitation of Liability

To the fullest extent allowed by law, in no event shall Voiceform or its directors, officers, employees, or suppliers be liable to you or any third party for any lost profits, lost revenue, lost or corrupted data, costs of procurement of substitute products, or any indirect, consequential, exemplary, incidental, special or punitive damages arising from or relating to these Terms or your use of the Services, including actions taken by an AI Client you authorized, AI-generated output, or the acts or omissions of any third-party AI platform, even if Voiceform has been advised of the possibility of such damages.

To the fullest extent allowed by law, Voiceform's total liability for all claims arising from or relating to these Terms or the Services, in contract, tort, or otherwise, will not exceed the amounts you paid Voiceform for the Services in the twelve (12) months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. In that case, Voiceform's liability will be limited to the smallest amount permitted by law.

12. Indemnification

You agree to defend, indemnify and hold harmless Voiceform from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Services, any data you share with a third-party AI platform through an AI Integration, or any action taken by an AI Client you authorized.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the provincial and federal courts located in Toronto, Ontario, Canada, for any actions related to these Terms or use of the Services.

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice by email or by posting the updated Terms on our website. Your continued use of the Services after any changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Services.

These Terms constitute the entire agreement between you and Voiceform regarding the use of the Services. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
